Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of Emily ("the Service"), provided by Sinatra AI Ltd, a company registered in England and Wales ("we", "us", "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Emily is an AI-powered public affairs platform that monitors parliamentary activity, manages stakeholder relationships, generates briefings, and drafts documents. Emily uses artificial intelligence (Google Gemini) to process your requests and generate outputs.

Important: Emily is an AI assistant. While we strive for accuracy, AI-generated content may contain errors. You are responsible for reviewing all outputs before using them professionally. Emily does not provide legal, financial, or professional advice.

3. Accounts

• You must provide accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old
• One account per person — do not share account access
• You must notify us immediately of any unauthorised access

4. Subscription and payment

• Free trial: New accounts receive a 7-day free trial. A valid payment method is required to start the trial. You will not be charged until the trial period ends.
• Subscription:After the trial, continued access requires a paid subscription at the current rate (£69/month per user at time of writing). Prices may change with 30 days' notice.
• Billing: Subscriptions are billed monthly in advance via Stripe. You authorise us to charge your payment method on a recurring basis.
• Cancellation: You may cancel your subscription at any time through your account settings. Access continues until the end of your current billing period. No refunds for partial months.
• Failed payments: If a payment fails, we will attempt to charge your card again. After 3 failed attempts, your account may be suspended.

5. Your data

You retain ownership of all content you input into Emily, including conversation messages, stakeholder information, engagement records, and any documents or text you provide.

You grant us a limited licence to process your content solely for the purpose of providing the Service. We do not use your content to train AI models, and we do not share your content with other users.

6. Acceptable use

You agree not to:

• Use Emily for any unlawful purpose
• Attempt to reverse-engineer, decompile, or extract Emily's underlying technology
• Use Emily to generate misleading, defamatory, or harmful content
• Share your account credentials with others
• Use automated scripts to access the Service (except via our API, if provided)
• Attempt to circumvent rate limits or usage restrictions
• Resell or redistribute the Service without our written permission

7. Intellectual property

Emily, including its design, code, features, and branding, is the intellectual property of Sinatra AI Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Service during your subscription period.

Content generated by Emily for you (briefings, documents, emails) is yours to use freely. However, we retain the right to use anonymised and aggregated usage patterns to improve the Service.

8. Service availability

We aim to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to provide reasonable notice of planned downtime.

9. Limitation of liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind, whether express or implied
• We are not liable for any indirect, incidental, consequential, or special damages arising from your use of the Service
• Our total liability is limited to the amount you have paid us in the 12 months preceding the claim
• We are not responsible for decisions made based on Emily's AI-generated outputs

10. Termination

We may suspend or terminate your account if you breach these Terms. You may close your account at any time. Upon termination:

• Your right to use the Service ends immediately
• You can request a data export within 30 days
• After 30 days, your data will be permanently deleted
• Outstanding payment obligations survive termination

11. Changes to these Terms

We may update these Terms from time to time. We will notify you via email or in-app notification at least 30 days before material changes take effect. Continued use after changes constitutes acceptance.

12. Governing law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
